垃圾律師樓!

好玄的一個問題:
究竟係人地比幾多錢你來決定你交貨quality,
定係你交貨的quality決定人地比幾多錢你??

這間律師樓我合作過好多次,現時手頭上3單deal有兩單都關佢事.這實在是我的福份,因為佢令我法律知識增長神速,因為呢間野出的documents,真係睇少眼都唔得.

事件一:

個客要出Convertible Bonds,個Bond Instrument沒有說明Conversion Period,只說

"A Bondholder shall have the right to convert the Convertible Bond into Shares on any Business Day or any other day as the Bondholder and the Company may agree in writing."

換言之,個Bondholder在Maturity Date 過後仍能convert the CB into Shares.這是個甚麼勞什子的Bond?!?!?!?!

事件二:

由於Instrument沒寫明Conversion Period,我只好老作一個period(from issuance date to 10 days prior to the maturity date)暫時寫在announcement,用square bracket括住,等垃圾律師confirm.

多番逼問下,原來Instrument已有新版本,不過沒有send給我.原來新的instrument 說:from issuance date to 14 days prior to the maturity date.

5分鐘後,垃圾律師說,看完announcement了,please find our comments.一看,我寫的那句"from issuance date to 10 days prior to the maturity date" 仍然呆在那裡.Square bracket 仍在.

我真想知道,你comment乜叉?

事件三:

Clause 14.4 的下一條是 Clause 15.5.

事件四:

Fact 1: 買賣合約內,有條文說:
"如在《完成交易日期》前任何《先決條件》未能符合（或依據第4.2條放棄），則《買方》無須購買《銷售股權》，而《本協議》立即失去效力，但第8至12條須保持有效，而任何一方仍可追討在失去效力之前因違反《本協議》所引起的責任。"

Fact 2:
同時,《完成交易日期》被定義為:
"在所有《先決條件》完全滿足或放棄後第[7]個工作天（或雙方於《完成交易》前可能以書面議定的較後日期）"

換言之,《先決條件》一日未完全滿足或放棄,《完成交易日期》就不會出現.

那還有甚麼可能出現Fact 1內"在《完成交易日期》前任何《先決條件》未能符合"的情況呢?

問題係,份agreement已經簽左.
逼問下,垃圾律師說,"係WOR!O甘呀...都可以amend gei..."

之前合作無O甘激心,因為至少他們會問我有沒有comment才叫個客簽名.今次,唔係我自己手痕去搵,我根本就唔知份agreement去左邊,幾時簽邊度簽.

前科嘛...
Statement of interests包唔晒整份circular,V-notes 多typo等等,仿佛已經不算大問題.

當然,會聘用垃圾律師樓的,是垃圾公司;會推薦垃圾公司用垃圾律師樓的,是垃圾banker.

一個三張野有7-8年經驗的RO竟然唔知Bond Instrument同Placing Agreement有咩分別.

我頂你個肺呢D野上WIKI都搵到啦,你問個下屬點解個Bond Instrument得個公司名無counterparty,你覺唔覺得羞家啊!
